Socanomics, LLC is a limited-liability company existing under the laws of the State of New York (“SOCANOMICS”). These Terms and Conditions (the “Terms”) apply to any services (the “Services”) you have purchased from SOCANOMICS, and govern the contractual relationship between you (the “Participants”) and SOCANOMICS with respect to any such Services.
 
PLEASE READ THESE TERMS CAREFULLY. BY BOOKING THIS TRIP, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS AND INDICATE YOUR ACCEPTANCE TO BE BOUND BY THESE TERMS.

1. ALL PAYMENTS DEPOSITS ARE NON-REFUNDABLE AND NON-TRANSFERABLE.


2. BALANCES

The initial deposit is due by October 8, 2023. The final balance is due Dec 1, 2023 unless otherwise noted.
 You will be provided a payment schedule and paying your installments to Socanomics LLC. Allow up to 5 business days to receive your invoice from the time of deposit.

Balances paid after a 2-day (48-hour) window of the due date will be charged a late fee of $75usd

Balances paid after an additional 7-day window of the due date will be charged a late fee of $100usd

If paid after that, SOCANOMICS reserves the right to cancel your reservation if you are unreachable to finalize your payment for the Retreat. We reserve the right to resell your place, and you will lose your hold deposit.

Having completed the booking and paid the deposit, you acknowledge that you have read and agreed to these terms and conditions.

3. BOOKING AGREEMENT
Your booking is confirmed and a contract exists when SOCANOMICS has received the applicable deposit from the Participants and has issued written confirmation upon receipt. Allow up to 24 hours. Please check your confirmation carefully and report any incorrect or incomplete information to SOCANOMICS immediately. Please ensure that names are exactly as stated in the relevant passport. Allow up to 5 business days to receive your invoice.


4. UNEXPECTED EVENTS
Unexpected events occur, so it is highly recommended that Participants purchase travel insurance including trip cancellation/interruption insurance in case of family emergencies, bad weather delays, flight cancellations, job loss, COVID-19 bans, and restrictions. If you cannot make the trip and you have passed the time limit please seek reimbursement through your travel insurance. It is highly recommended that you purchase trip cancellation insurance. Trip cancellation insurance is the only means of receiving reimbursement for flights and other non-refundable expenses should you cancel your trip for any reason, whether voluntarily or as a result of SOCANOMICS actions. It is your responsibility to read and understand our cancellation policies. Exceptions will not be made for any reason, including weather, injury/illness, death, personal emergencies, or any other force majeure. There are no refunds or credits for failing to attend or complete the Retreat, missing individual activities or workshops, arriving late, or leaving early.


5. CHANGES
The itinerary, trip details, or suggested activities are provided as a guide. While SOCANOMICS will endeavor to operate all Services as advertised, reasonable changes in the itinerary of any Service may be made where deemed necessary or advisable for operational reasons by SOCANOMICS, in its sole discretion. 


6. CANCELLATION OF TRAVEL
If a trip or any Services are cancelled by SOCANOMICS before the date of departure for reasons other than Force Majeure and the cancellation is not caused by your fault or negligence, you will have the choice of accepting a substitute trip or service of similar value or a full refund of all monies paid for the cancelled trip/Service if a substitute trip is not available.

7. INCIDENTALS
SOCANOMICS is not responsible for any incidental expenses or consequential losses that you may incur as a result of a cancelled booking such as visas, vaccinations, non-refundable flights or rail, non refundable car parking or other fees, loss of earnings, or loss of enjoyment. To cancel services booked through third party vendors, please contact the applicable vendor.
 

SOCANOMICS cannot be held responsible for personal expenses, such as airline tickets, due to itineraries or Retreat details changes. We kindly ask that Participants not book tickets before being contacted with booking details for the respective Retreat. We reserve the right to cancel the Retreat for any reason. The unlikely event of cancellation would only happen in exceptional circumstances resulting in us not being able to offer the Retreat as advertised, if the minimum number of Participants to run the Retreat is not met, or in case of force majeure. Should this happen, we will notify you as soon as we know of the cancellation and refund you the total USD amount you paid us regarding the Retreat. We cannot be held liable for any expenses you may have incurred, such as travel, vacation leave days, or exchange rate losses.

8. MEDICAL CONDITIONS
You are responsible for determining whether traveling with Socanomics is suitable for you. SOCANOMICS encourages all Participants to consult their physician to confirm their fitness for travel and participation in any planned activities. This includes soliciting a physician’s advice regarding necessary or advisable vaccinations, medical precautions, or other medical concerns regarding the Participant's travel with SOCANOMICS. SOCANOMICS does not provide medical advice. Ultimately, it is your responsibility to assess the risks and requirements of each aspect of travel based on your own unique circumstances, limitations, fitness level and medical requirements.

Any special requirements must be disclosed to SOCANOMICS at the time of booking. Certain Services may not be suitable for all people due to restrictions posed by limitations in mobility, physical or cognitive disability, pregnancy or various other physical or mental conditions.  

Modifications are given to Participants with specific needs. If Participants are unsure of their physical ability due to previous injuries, they should seek a healthcare practitioner's advice beforehand. SOCANOMICS will make reasonable efforts to accommodate special requirements or requests but this is not always possible given the nature of the destinations visited and availability of options. SOCANOMICS is not liable for any failure to accommodate or fulfill such requests.



9. BOOKING ON BEHALF OF OTHERS


By booking on behalf of other travelers, you are deemed to be the designated contact person, the Participant, for every traveler included on that booking. By booking on behalf of another traveler or travelers, you represent and warrant that you have obtained all required consents. You are responsible for verifying that any information you provide on behalf of another participant is complete and accurate and SOCANOMICS will under no circumstances be liable for any errors or omissions in the information provided on booking.
 
10. CURRENCY
Payment for all Services shall be made in United States Dollars. All prices quoted are correct at the time of printing, include the cost of operation of the journeys, and are subject to currency changes. The published price of the trip and any Services offered by SOCANOMICS is subject to change at any time, before or after booking confirmation, up to 30 days before departure. Trips are priced and advertised inclusive of applicable sales taxes. After a confirmation has been issued, SOCANOMICS reserves the right to impose surcharges on any products or services booked for reasons arising from increases in transportation costs, fuel costs, dues, taxes or fees chargeable for services such as landing taxes or embarkation or disembarkation fees at ports and airport charges, local operator costs, currency and exchange fluctuations, increases in taxes, or government action which impacts the price of the applicable Services. Upon learning of the necessity to impose a surcharge in accordance with this section SOCANOMICS will provide notice to you as soon as reasonably possible.
 
11. FINAL PAYMENT AND CHARGES
The confirmation sent by SOCANOMICS will contain details of final payment required for any booking including amount, due date, and departure instructions. If full payment is not received by Dec 1, 2023, SOCANOMICS may, at its sole discretion, change the rate payable for the booking, or treat the booking as cancelled and retain the deposit paid on booking as a cancellation fee.

SOCANOMICS is not responsible for any charges levied by third parties or financial institutions and payable by you as a result of credit card or other payment transactions and will not refund or return any fees charged by third parties or financial institutions in connection with payments made by you to SOCANOMICS.

As a condition of booking, you must provide the information requested by SOCANOMICS along with final payment. In the event that you fail to supply required information, SOCANOMICS reserves the right to treat your booking (or the relevant component of your booking) as cancelled and levy any cancellation fees deemed reasonable SOCANOMICS, in its sole discretion.

12. AIRFARE
Trip prices do not include international or other airfare unless expressly mentioned in the trip’s description. SOCANOMICS is not responsible for changes in air itineraries or flight times and does not provide advice or alerts regarding air travel tickets, flight status or delays. You are responsible for consulting your preferred air carrier’s applicable terms and conditions, conditions of carriage, and cancellation terms.
 
13. UNUSED SERVICES
SOCANOMICS shall not offer or pay any discounts or refunds for missed or unused services which were missed or unused due to no fault of SOCANOMICS, which shall include any termination of your participation in the trip/Services due to your own fault, negligence or breach of these Terms.
 
14. TRAVEL DOCUMENTS
It is your responsibility to obtain information and to have in your possession all the required documentation and identification required for entry, departure and travel to each country or region. This includes a valid passport and all travel documents required by the relevant governmental authorities (including but not limited to all visas, permits and certificates, vaccination or medical certificates, and insurance policies). You must have a passport that is valid 6 months after the last date of travel as set out on your itinerary. You accept full responsibility for obtaining all such documents, visas and permits prior to commencement of travel, and you are solely responsible for the full costs incurred as a result of missing or defective documentation.

15. FITNESS WAIVER
SOCANOMICS is not responsible for any injuries, ailments, or sickness that may occur during classes, during the duration of this trip, or after. You accept that you are physically capable of attending classes, workshops, and all aspects of this retreat.
Participants assume the risk involved when participating in fitness & yoga, and any activities and pursuits voluntarily undertaken while participating in the Retreat. Participants agree that all disputes between Participants and Socanomics are governed by the laws of the United States of America.

16. IMAGES AND PROMOTIONAL MATERIALS
You agree that, while participating in any SOCANOMICS trip, photos or videos (“images”) may be taken by other participants, SOCANOMICS or its representatives that may include or feature you and your likeness. You consent to any such images being taken and grant a perpetual, royalty-free, worldwide, irrevocable license to SOCANOMICS, its contractors, sub-contractors and assigns, to reproduce for any purpose whatsoever (including marketing, promotions and the creation of promotional materials by or with sub-licensees), in any medium whatsoever, whether currently known or hereinafter devised, without any further obligation or compensation payable to you.

17. TRAVEL RESPONSIBILITIES
Regarding the stay during the Retreat, SOCANOMICS will provide safe, careful instruction and safe premises but ask that each Participant take personal responsibility for their self-care and (in the unlikely case) for any injuries incurred during the Retreat. You acknowledge that the nature of travel and Services offered by SOCANOMICS may involve a significant amount of risk to your health and safety. By traveling with SOCANOMICS, you hereby assume responsibility for all such risk and release SOCANOMICS from any and all claims and causes of action arising from any losses, damages, injuries, or death resulting from risks inherent in travel, including visiting foreign destinations and participating in adventurous activities.

Accommodation, transportation, activities and excursions, and other components of the trip/Services may be arranged with suppliers and vendors local to the destination region, who may themselves engage the services of local operators and/or sub-contractors. The terms and conditions of all local suppliers or vendors will be applicable to the service they provide and are expressly incorporated into these Terms. SOCANOMICS liability will not exceed that of any local supplier or vendor. The services shall be regarded as having been satisfactorily performed and delivered solely in reference to the regulations and laws concerning health and safety in the applicable jurisdiction where such service is performed.

You must at all times strictly comply with all applicable laws and regulations of all countries and regions. Should you fail to comply or commit any illegal act while traveling or, if in the opinion of SOCANOMICS (acting reasonably), your behavior is causing or is likely to cause danger, distress or material annoyance to others, SOCANOMICS may terminate your travel arrangements on any Service immediately at your expense and without any liability on the part of SOCANOMICS. You will not be entitled to any refund for unused or missed Services or costs incurred as a result of termination of your travel arrangements, including, without limitation, return travel, accommodations, meals, and incidentals.

You are responsible for any costs (including repair, replacement and cleaning fees) incurred by SOCANOMICS or its suppliers for property damage, destruction, or theft caused by you. You agree to immediately report any pre-existing damage to staff of the accommodation, transportation service, or facility as soon as possible upon discovery.
 

You agree to take all prudent measures in relation to your own safety while traveling, including, but not limited to, the proper use of safety devices such as seatbelts, harnesses, and helmets, and obeying all posted signs and warnings. SOCANOMICS shall not be liable for your failure to comply with this section.

18. ADDED SERVICES
The option to add any activity, transportation, meal, product or service that is not expressly included in the trip itinerary or price and do not form part of the official trip is up to your discretion. You agree that any assistance provided by SOCANOMICS or its representative(s) in arranging, selecting, or booking, any Optional Extras is offered purely as a courtesy and SOCANOMICS makes no warranties and expressly disclaims any liability whatsoever arising from participation in Optional Extras. You release SOCANOMICS from all claims and causes of action arising from any damages, loss of enjoyment, inconvenience, or injuries related to or arising from participation in or booking of Optional Extras. 

You acknowledge and agree that any liability for loss, damages, death, personal injury, illness, emotional distress, mental suffering or psychological injury or loss of or damage to property associated with Optional Extras is the sole responsibility of the third party providing that service or activity.
 
19. LIABILITY
SOCANOMICS and its parents, subsidiaries and their respective employees, affiliates, officers, directors, successors, representatives, and assigns shall not be held liable for any damages, expenses, losses, or claims which are attributable to the fault of any Participant, the unforeseeable or unavoidable act or omission of a third party unconnected with the provision of any services that form any part of the Product(s), or a Force Majeure event. YOU MUST COMMUNICATE ANY SUCH ALLEGED CLAIMS TO SOCANOMICS AT THE EARLIEST OPPORTUNITY IN WRITING.

In the event that any loss, death, injury or illness is caused by the negligent acts or omissions of SOCANOMICS or of the third-party suppliers of any services which form part of the booking agreement, then SOCANOMICS limits its liability to a maximum of the price which paid for the trip or Service, not including insurance premiums and administration charges, subject to all applicable international conventions.
 

SOCANOMICS will not at any time be liable for any loss, theft, or damage to valuables and personal possessions of any nature, including luggage. You are responsible at all times for your own belongings. SOCANOMICS cannot accept responsibility for and in no event shall be liable for loss or damage of valuables or other articles left in or on facilities used during travel such as hotels, vessels, expedition vehicles, or any other mode of transportation.

20. INSURANCE
SOCANOMICS recommends that you obtain travel insurance with a minimum medical, evacuation, and repatriation coverage of USD$200,000 covering all applicable dates of any travel. A policy should at minimum cover personal injury and emergency medical expenses, and it is strongly recommended that you extend coverage to include cancellation, curtailment, and all other expenses that might arise as a result of loss, damage, injury, delay or inconvenience. You acknowledge that the cost of the trip and Services do not include any personal insurance coverage for you or your belongings.
 
21. CLAIMS 
You agree to bring any complaints to SOCANOMICS’S attention as soon as possible in order to provide the SOCANOMICS with the opportunity to properly address such complaint. SOCANOMICS assumes no liability for complaints that are not properly brought to its attention and cannot resolve or attempt to resolve complaints until proper notice is provided. Any complaint made after the completion of a trip must be received in writing by SOCANOMICS within 14 days of the last day of travel of the booking in question. You acknowledge and agree that SOCANOMICS is not obligated to remedy or accept any liability for claims received after this period.
 
22. REFUSAL OF SERVICE
SOCANOMICS reserves the right to refuse service to any person at any time, for any lawful reason whatsoever, in its sole discretion.
 
23. PRIVACY POLICY
SOCANOMICS must collect your personal information to plan and deliver the trip and any Services. SOCANOMICS takes care to safeguard all Participant information and protect your privacy. SOCANOMICS collects, uses, and discloses only that information reasonably required to enable it and its suppliers/vendors to provide the particular trip and Services that you have booked. By submitting any personal information to SOCANOMICS, you indicate your acceptance of its Privacy Policy.
 
24. ONLINE BOOKINGS
All online bookings/reservations shall be deemed as being made in the United States of America, and shall be subject to the laws and jurisdiction of the United States.
 
25. FORCE MAJEURE
SOCANOMICS will not be liable in any way for death, bodily injury, illness, damage, delay or other loss or detriment to person or property, or financial costs both directly and indirectly incurred, or for SOCANOMICS’s failure to commence, perform or complete any duty owed to you if such death, delay, bodily injury (including emotional distress or injury), illness, damage or other loss or detriment to person or property is caused by an Act of God, war or war like operations, mechanical breakdowns, terrorist activities or threat thereof, civil commotions, labor difficulties, interference by authorities, political disturbance, howsoever and where so ever any of the same may arise or be caused, riot, insurrection and government restraint, fire, extreme weather or any other cause whatsoever beyond the reasonable control of SOCANOMICS; or an event which SOCANOMICS or its suppliers/vendors, even with all due care, could not foresee.

26. APPLICABLE LAW
These Terms and the interpretation thereof shall be governed exclusively by the laws of the State of New York, without reference to its choice of law provisions. You submit to the exclusive jurisdiction of the courts located in New York for the resolution of any dispute under these Terms or concerning a trip or Service offered hereunder.
 
27. AMENDMENTS
SOCANOMICS reserves the right to update or alter these Terms at any time, and will post the amended Terms on its website. Any amendment will take effect immediately after being posted. You are deemed to have accepted any amendments to these Terms on the date that it is posted. 
 
28. ENTIRE AGREEMENT
These Terms constitute the entire Agreement between you and SOCANOMICS with respect to the subject matter thereof and supersedes all prior agreements, representations and understandings of the parties, written or oral.



29. COVID TRAVEL UPDATE


Please note that if the Retreat has to be postponed based on border closures, then the guest's payment will be transferred to the new date after it has been assessed. In the case that the Retreat happens as scheduled, but a guest decides not to attend based on any other reason than a country's border closure then the standard cancellation policy will be maintained. They will have the opportunity to transfer the space to another person or sell their spot independently. However, no refunds will be made. Should the dates be affected due to the pandemic, the dates will continually be reassessed and rescheduled. In the case that the Participant sells their spot to another person independently, we ask that you contact us at info@bahayogi.com with the details of the new Participant.

As with any other illness, you are responsible for your safety. Therefore, we encourage wearing masks, sanitization, social distancing, and all other preventative health measures where necessary. In addition, you are responsible for all COVID-19 testing, quarantines, and other essential measures needed, should you test positive. Therefore, if you feel ill or suspect you may have COVID-19, please alert us immediately and follow precautionary actions to protect those around you.

30. DISCLAIMER
SOCANOMICS will not be responsible for any damages or expenses, inconveniences caused by late departures or change of schedule, strikes, or conditions, nor will SOCANOMICS be responsible for loss or damage to baggage or any of the Participant's belongings. SOCANOMICS shall not be responsible for personal injury, death, accident, delay, loss, damage, irregularity, or property damage as a result of force or any other losses or damages incurred by any person or Retreat Participants caused by any delay or change of itinerary or arising out of any act, including, but not limited to, any act of negligence, any person acting for or on behalf of SOCANOMICS for transportation, accommodation or sight-seeing provider or any other person or entity rendering any of these services or accommodations being offered in connection with this journey. This agreement supersedes all the parties' previous oral or written communications, representations, or agreements. 



By paying the Deposit, the Participant acknowledges and understands the Terms & Conditions.
